Terms of Service

Please read these terms carefully before using OmniSocials and our social media management platform.

Overview

Welcome to OmniSocials ("OmniSocials," "we," or "us"). These Terms of Service ("Terms") are a legally binding agreement between you and OmniSocials Inc. governing your access to and use of our website at omnisocials.com, our application at app.omnisocials.com, and any related services we provide (together, the "Service").

By creating an account or otherwise accessing the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Service.

When you connect a third-party social platform, you also agree to comply with that platform's terms, including Meta's Platform Terms (Facebook, Instagram, Threads), LinkedIn's User Agreement, YouTube's Terms of Service, TikTok's Terms of Service, Pinterest's Terms of Service, and the terms of any other platform you connect.

Arbitration notice. Disputes arising under these Terms are resolved by binding individual arbitration, and by accepting these Terms you and OmniSocials each waive the right to a jury trial or to participate in any class action. See "Disputes & Arbitration" below for details.

The Service

OmniSocials is a social media management platform that lets you schedule and publish content across connected social channels, manage a unified social inbox, and review analytics and performance insights for your accounts.

Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms you represent that (a) you are 18 or older, (b) you have not previously been suspended or removed from the Service, and (c) your registration and use of the Service comply with all applicable laws. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

Accounts

To use most features of the Service you must register an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your password and for all activity under your account. Notify us immediately at robert@omnisocials.com if you suspect any unauthorized use.

Communications

By creating an account, you consent to receive service-related communications from us. These are required to operate your account and cannot be opted out of:

  • Account security alerts
  • Billing updates and payment notifications
  • System maintenance and service disruption notices

Additional non-essential communications (product updates, onboarding tips, analytics summaries) are enabled by default and can be turned off in your notification settings. Marketing communications (such as promotional offers) are sent only if you explicitly opt in, and you can withdraw consent at any time.

Payment & Subscriptions

Pricing

Paid features require payment of the applicable fees, shown at checkout. Fees are in U.S. Dollars and are non-refundable except where required by law. We may change pricing with reasonable advance notice before any change takes effect.

Authorization

You authorize OmniSocials (and our payment processor, Stripe) to charge the payment method on file for the plan you select, including any applicable taxes.

Recurring subscriptions

Subscription plans renew automatically at the end of each billing period until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

Delinquent accounts

We may suspend or terminate access for any account with unpaid amounts. Delinquent accounts may be charged additional fees related to chargebacks or collection.

Licenses & Restrictions

Permission to use

Subject to your compliance with these Terms, OmniSocials grants you a limited, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business use at the plan level you have paid for.

Restrictions

You may not:

  • Reproduce, distribute, publicly display, or publicly perform the Service
  • Modify or create derivative works of the Service
  • Reverse engineer, decompile, or attempt to extract the source code
  • Interfere with or circumvent any security or access control
  • Resell, sublicense, or transfer the access granted under these Terms

Feedback

If you send us feedback or suggestions, you grant OmniSocials a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including to improve the Service.

Ownership

The Service, including its design, code, branding, documentation, and all related materials, is owned by OmniSocials and protected by intellectual property laws. Except for the limited license granted in these Terms, no rights are transferred to you.

Third-Party Platforms

Connected accounts

OmniSocials enables you to connect social media accounts (including Facebook, Instagram, Threads, LinkedIn, YouTube, TikTok, X, Pinterest, Bluesky, Mastodon, and Google Business). When you connect an account, you authorize us to access and act on data from that account in accordance with the platform's developer terms, our Privacy Policy, and these Terms.

Your responsibilities

  • Your use of each platform's features is subject to that platform's terms and policies
  • You are responsible for ensuring your content complies with each platform's rules and applicable laws
  • For decentralized platforms (Bluesky, Mastodon), additional instance-specific rules may apply

Platform actions outside our control

OmniSocials connects to third-party platforms only through their official APIs. We are not responsible for actions a platform takes against your account, including restrictions, suspensions, shadowbans, reduced reach, or termination. These can result from your content, posting behavior, policy changes, or algorithm updates that we do not control. You accept this risk when connecting any third-party account.

User Content

Your content stays yours

You retain all rights to the content you upload, draft, or schedule through the Service ("User Content"). You are solely responsible for your User Content and the consequences of publishing it.

License to operate the Service

You grant OmniSocials a worldwide, non-exclusive, royalty-free license to host, store, reformat, and transmit your User Content solely for the purpose of operating the Service and publishing your content to your connected social accounts on your behalf.

Your warranties

By submitting User Content, you confirm that:

  • You own the content or have all necessary rights to use it
  • It does not infringe any third-party intellectual property, privacy, or publicity rights
  • It does not violate any law or the policies of the platforms you publish to

Prohibited Conduct

You may not use the Service to:

  • Violate any law or regulation, or any third-party right
  • Infringe or misappropriate intellectual property
  • Distribute spam, malware, phishing, or other harmful content
  • Interfere with or circumvent security features
  • Modify or create derivative works of any part of the Service
  • Impersonate any person or entity, or misrepresent your affiliation
  • Reverse engineer or attempt to extract source code
  • Resell or transfer your access to the Service

Copyright (DMCA)

We comply with the Digital Millennium Copyright Act (17 U.S.C. §512) and similar laws. If you believe content on the Service infringes your copyright, send a notice with the information required by the DMCA to legal@omnisocials.com. Repeat infringers may have their accounts terminated.

Termination

These Terms remain in effect while you use the Service. You may stop using and delete your account at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or for legal or safety reasons. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnity, disputes) will survive.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any content will be published successfully to any connected platform.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNISOCIALS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID US ANYTHING.

Indemnity

You agree to indemnify, defend, and hold harmless OmniSocials from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your User Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any third-party right, including the terms of any connected social platform.

Disputes & Arbitration

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration in accordance with the rules of a recognized arbitration body in the Netherlands. You and OmniSocials each waive any right to a jury trial and to participate in any class or representative action. You may opt out of this arbitration agreement by sending written notice to legal@omnisocials.com within 30 days of first accepting these Terms.

This section does not prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property infringement or breaches of confidentiality.

Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and, for material changes, notify you by email or in-app notice. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

General

Governing law

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law principles. Subject to the arbitration agreement above, you and OmniSocials submit to the exclusive jurisdiction of the courts of the Netherlands for any matter not subject to arbitration.

Entire agreement

These Terms, together with the Privacy Policy, are the entire agreement between you and OmniSocials regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full effect.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
